Description: A merchandise license is an agreement in which an artist, designer, or trademark owner (the “licensor”) grants a license to a manufacturer or retailer (the “licensee”) to manufacture and sell articles of merchandise which use the property that is the subject of the license. The licensor is paid a royalty from sales of those articles of merchandise. This template Merchandise License Agreement contains standard clauses commonly used in these types of agreements, as well as optional language to allow for customization to ensure the specific terms of the parties’ agreement are addressed. For example, the parties can select the term of the agreement, the royalty amount, and whether or not the license will be exclusive or non-exclusive.
